A Virtual Data Room (or virtual deal room) is the online equivalent of a "war room."

A War Room is the term for the physical location of sensitive business documents which have been made available in the due diligence process. The most common use of a war room is for the fact checking involved in mergers or acquisitions, but there are many different uses.

Whereas a War Room, has these sensitive documents kept, under lock and key, in a singular physical room, a virtual data room is a secure, encrypted document repository. Virtual Data Rooms can have many features including security, document collaboration, per file and per user access levels, and audit tracking reports. Some virtual data rooms can limit file functionality such as preventing changes to the file, printing, downloading, or editing.
